DISPUTE RESOLUTION
If there is any controversy, claim, action, or dispute arising out of or related to your use of the Company Content or the breach, enforcement, interpretation, or validity of these Terms or any part of them (“Dispute”), you and Company agree to resolve the Dispute through the dispute resolution procedures set forth herein, even if the Dispute arose prior to the effective date of these Terms.
Informal Resolution
Before either party starts arbitration or a court action, the party bringing the dispute must send the other written notice describing the dispute and the relief requested. Notices to Company must be sent to chris@sweetsimplevegan.com with the subject line “Dispute Notice.” Company will send notices to the email address associated with your account. The parties will try in good faith to resolve the dispute for 45 days after notice is received. This informal-resolution process is a condition precedent that must be satisfied before either party may start arbitration, except for an individual claim in small claims court or a request for temporary or preliminary injunctive relief.
Individual Arbitration
YOU AND COMPANY AGREE THAT, IF ANY DISPUTE ARISING OUT OF OR RELATING TO THE WEBSITE, COMPANY CONTENT, PRODUCTS, OR THESE TERMS CANNOT BE RESOLVED BY THE INFORMAL DISPUTE RESOLUTION PROCEDURE OUTLINED ABOVE, SUCH DISPUTE SHALL BE DECIDED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS. ARBITRATION ON AN INDIVIDUAL BASIS MEANS THAT YOU AND COMPANY WILL NOT HAVE, AND WE EACH WAIVE, THE RIGHT TO HAVE A JUDGE OR JURY DECIDE THE CLAIMS, AND THAT NEITHER PARTY IS PERMITTED TO PROCEED IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE CAPACITY. Other rights that the parties would otherwise have in court will not be available or will be more limited in arbitration, including discovery and appeal rights.
The arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, as modified by these Terms. The Federal Arbitration Act governs the interpretation and enforcement of this agreement to arbitrate.
Arbitration Procedures
The arbitration may be conducted by video conference, on written submissions, or in person in the county where you live or at another location the parties agree to. The arbitrator may award the same individual relief available in court, but may not award relief for or against anyone who is not a party to the arbitration. Judgment on the award may be entered in any court with jurisdiction.
Class and Representative Action Waiver
You and Company may bring claims only in an individual capacity. Neither party may bring or participate in a class, collective, consolidated, private-attorney-general, or representative action or proceeding, except to the extent this waiver is unenforceable under applicable law. The arbitrator may not consolidate the claims of more than one person or preside over any representative or class proceeding.
Mass Arbitration
This Section on Mass Arbitrations (defined below) supersedes any provision to the contrary in these Terms.
If you or Company files a demand for Arbitration that is one of twenty five (25) or more similar demands for Arbitration filed against the other party (i.e., against you or Company, as applicable) by parties represented by the same law firm or law firms acting in coordination (“Mass Arbitration”), the arbitration of the Dispute, and all other Disputes constituting the Mass Arbitration, shall be conducted in accordance with the American Arbitration Association’s Mass Arbitration Supplementary Rules.
In the event of a Mass Arbitration, any issues arising under or relating to (a) the interpretation, applicability, enforceability, or formation of these Terms, including any claim that all or any part of these Terms are void or voidable or (b) the jurisdiction of the arbitrator, including any objections with respect to the existence, scope, or validity of this Section or the arbitrability of any claim or counterclaim, shall be decided by a court of competent jurisdiction.
Severability
If any part of this dispute-resolution section is found unenforceable, that part will be severed, and the remaining provisions will remain in effect. If the class and representative action waiver is found unenforceable as to a particular claim, that claim must proceed in a court with jurisdiction, but any individual claim subject to arbitration will remain in arbitration.
CHOICE OF LAW AND FORUM
These Terms shall be governed by the laws of the State of Washington. You agree to personal jurisdiction therein.
Except to the extent federal law applies, Washington law governs these Terms without regard to conflict of law rules. Any dispute that is not subject to arbitration must be brought in the state or federal courts located in Clark County, Washington, unless applicable law requires another forum.
You agree that any claims will be brought and maintained on an individual basis and not as part of any class, consolidated, collective, or representative capacity, and that you waive the right to a jury trial.
MISCELLANEOUS PROVISIONS
If any provision(s) of the Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall be severable and enforceable. If a provision is excessively broad, such a provision shall be limited or reduced in scope so as to be enforceable.
The Terms may not be assigned by you without Company’s prior written consent; however, the Terms may be assigned by Company in its sole discretion.
The Terms are the final, complete, and exclusive agreement of the parties with respect to the Website offered by Company; however, Company may make modifications as stated above.
All notices with respect to the Terms must be in writing and may be via email to chris@sweetsimplevegan.com for Company and to your email address.
